1. Acceptance of Terms

By engaging in any form of transaction (inquiry, quotation, purchase order, or contract) with OrgoNuts Global (“we,” “our,” or “us”), the client (“you” or “buyer”) agrees to abide by the following Terms and Conditions. These terms override any conflicting terms in your purchase documents unless expressly agreed upon in writing by us.

2. Products and Specifications

• We deal in FSSAI-certified dry fruits, whole and ground spices, herbs, and other natural/agro-based export products.
• Product specifications (such as grade, size, packaging, and labelling) will be confirmed in the Proforma Invoice (PI) or Purchase Agreement.
• Samples can be provided upon request. Charges may apply for shipping or product depending on volume and destination.

3. Pricing and Payment Terms

• All prices are quoted in [USD / INR / EUR] on FOB, CIF, or Ex-Works basis, unless stated otherwise.
• Prices are subject to change based on currency fluctuations, market rates, or raw material costs without prior notice.
• Full or partial advance payment (as per agreed Incoterms) is required before dispatch, via approved payment methods (TT, LC, Bitcoin [if applicable]).
• Late payments may incur interest at 2% per month, and persistent non-payment will result in blacklisting and legal action.

4. Order Processing and Shipping

• Minimum Order Quantities (MOQs) apply and will be defined in the quotation.
• Typical lead time ranges from 7–21 working days depending on volume and product.
• Shipping documentation includes: Commercial Invoice, Packing List, Certificate of Origin, Phytosanitary Certificate (if required), and FSSAI license.
• OrgoNuts Global is not liable for delays due to port congestion, customs clearance issues, or force majeure events.

5. Quality Assurance & Inspection

• All products are inspected before dispatch under standard export hygiene and quality protocols.
• Third-party inspection (e.g., SGS) is permitted at buyer’s cost.
• Quality complaints must be reported in writing within 7 days of delivery with photographic/video evidence.
• Claims after this period will not be entertained unless a prior agreement exists.

6. Returns and Refunds

• Due to the perishable and consumable nature of our goods, returns are not accepted unless there is a proven quality issue.
• Approved refund claims will be processed within 14 business days via the original payment method.
• Partial refunds or credit notes may be offered at our discretion.

7. Packaging and Labelling

• Products are packed in food-grade, moisture-resistant materials suitable for export.
• Custom/private labelling is available upon request with minimum quantities and extra charges.
• All packages are labelled as per the importing country’s requirements (if specified by buyer).

8. Intellectual Property

• All content, branding, packaging design, and product photos provided by OrgoNuts Global are protected under copyright laws and may not be reproduced without written consent.

9. Force Majeure

OrgoNuts Global shall not be liable for failure or delay in performance due to events beyond its control, including but not limited to: natural disasters, pandemics, embargoes, war, strikes, or government restrictions.

10. Dispute Resolution

• In case of a dispute, both parties agree to seek resolution through mutual discussion and negotiation.
• If unresolved, disputes will be subject to arbitration under [specify Arbitration and Conciliation Act, 1996, New Delhi, India.
• Governing law: New Delhi, India. 

11. Privacy & Data Protection

We collect and store customer data strictly for transaction, communication, and compliance purposes. We do not sell or disclose your information to third parties unless required by law.

12. Modification of Terms

We reserve the right to update or revise these Terms and Conditions at any time. Updated terms will be effective immediately upon posting on our website or issuing a new quotation.
